- BY PARTICIPATING IN THIS PROMOTION, THE PARTICIPANT AGREES TO THESE OFFICIAL PROMOTION RULES AS A BINDING CONTRACT.
- THIS PROMOTION IS IN NO WAY SPONSORED, ENDORSED, ADMINISTERED BY, OR ASSOCIATED WITH INSTAGRAM, INC. (“INSTAGRAM”) OR FACEBOOK, INC. (“FACEBOOK”). BY PARTICIPATING IN THIS PROMOTION, YOU UNDERSTAND THAT YOU ARE PROVIDING YOUR INFORMATION TO SPONSOR AND NOT TO INSTAGRAM OR FACEBOOK.
- Sponsor and Administrator: Passport to Morimoto Asia (the “Promotion”) is sponsored and administered by Patina Group, LLC (“Sponsor”).
- General: By participating in this Promotion, the participant (“Participant”) acknowledges and agrees to these Official Rules. Void where prohibited. The Promotion begins on Wednesday, October 1, 2025, and ends Wednesday, September 30, 2026 (the “Promotion Period”). All times in this Promotion refer to Eastern Daylight Time. All decisions of the Sponsor are at its sole discretion and are binding and final. Failure to comply with these rules will result in disqualification from this Promotion.
- Eligibility: This Promotion is open only to legal U.S. residents who are 21 years of age or older as of October 1, 2025. Employees, officers, directors, managers and members, along with their respective immediate family members, of Sponsor and Delaware North Companies, Incorporated (“DNC”) its affiliates, and any other entities involved in any manner with the marketing, sponsoring, fulfilling or administration of the Sweepstakes (collectively, the “Sweepstakes Entities”), are not eligible to participate or win.The term “immediate family member” includes spouses, parents, step-parents, children, step-children, siblings, step-siblings, grandchildren, step-grandchildren or other family extension, regardless of where they live, and any persons residing in the same residence as the winner at least (3) months per year, whether related or not.
- How To Enter: Sponsor is celebrating ten magical years since we first opened our doors to Morimoto Asia in Disney Springs! In honor of this milestone anniversary from October 2025 to October 2026, Morimoto Asia will feature a new rotating monthly special inspired by a wide variety of Asian cultures. From China and Japan to Vietnam, Thailand, and beyond, each month will have its own limited time dish paired with a beverage that was influenced by the flavors and ingredients native to one region (collectively the “Monthly Special Meal” and “Monthly Special Beverage”). During the Promotion Period each month will feature its own unique stamp for that month’s specific Monthly Special Meal and Monthly Special Beverage. Guests at Morimoto Asia will receive a passport when they purchase their first Monthly Special Meal or Monthly Special Beverage and will receive a unique stamp in their passport when they order a Monthly Special Meal and/ or Monthly Special Beverage each month during the Promotion Period.Participants who collect all 24 unique stamps during the Promotion Period, meaning that the Participant has purchased each Monthly Special Meal and Monthly Special Beverage during the 12 individual months of the Promotion Period, will be eligible to receive the Grand Prize (detailed below).Participants who collect at least 12 unique stamps during the Promotion Period, meaning that Participant has purchased either a Monthly Special Meal or a Monthly Special Beverage during each of the 12 individual months of the Promotion Period, will be eligible to receive the Twelve Stamp Prize (described below).Each Participant represents that their entry is true and correct, and that he or she is authorized to submit such entry. Limit one passport book per Participant. Passport books may not be combined. Sponsor reserves the right to disqualify any Entry which Sponsor determines in its discretion to not be in compliance with these Rules.
- Prizes: There are two (2) prize levels in this Promotion the Grand Prize and the Twelve Stamp Prize (collectively the “Prizes”).Grand Prize: Participants who collect all 24 unique stamps during the Promotion Period, meaning that the Participant has purchased each Monthly Special Meal and Monthly Special Beverage during the 12 individual months of the Promotion Period, will be eligible to receive the Grand Prize. The Grand Prize winners will receive a trip for two (2) to Boston, Massachusetts. The Grand Prize includes double-occupancy, standard hotel accommodations for two (2) nights at a hotel to be determined by Sponsor, dinner for Participant and a guest at Momosan Boston, and two (2) complimentary tickets to an event of Participant’s choosing at TD Garden during the trip. Grand Prize recipients will work with Sponsor to determine the time of their individual Grand Prize trip. All Grand Prize trips must be taken within 12 months of the close of the Promotion Period. Does not include airfare.
Twelve Stamp Prize: Participants who collect 12 stamps during the Promotion Period, meaning that Participant has purchased either a Monthly Special Meal or a Monthly Special Beverage during each of the 12 individual months of the Promotion Period, will be eligible to receive the Twelve Stamp Prize. Twelve Stamp Prize winners will be invited to a private reception at Morimoto Asia and a meet and greet with Iron Chef Masaharu Morimoto. The date of the Twelve Stamp Prize reception will be determined by Sponsor at the close of the Promotion Period.
The Prizes cannot be exchanged for cash and there are no substitutions with out Sponsor’s written approval. Transfer of any Prize is prohibited. All taxes and all other expenses, costs or fees, including parking and transportation, associated with the acceptance and/ or use of a Prize are the sole responsibility of the Participant. Upon request, Participant must provide Sponsor with identification required for Sponsor to comply with any applicable laws, including tax reporting obligations. The Sponsor reserves the right to substitute a similar prize of equal or greater value at its sole discretion. Participants are eligible to win one (1) Prize only.
- Disclaimer and indemnity: By participating in the Promotion, the Participant assumes all liability for any liability, injury or damages caused or claimed to be caused by, arising out of or in connection with their participation in the Promotion and/ or the acceptance and/ or use of any Prize. The Participant, hereby releases, indemnifies and holds harmless the Sponsor, Delaware North Companies, Incorporated, and their respective parent companies, subsidiaries, affiliates, officers, directors, agents, and employees, from any and all such liability, including personal injury or breach of any person’s intellectual property, privacy or publicity rights. None of the Sponsor, Delaware North Companies, Incorporated or their respective parent companies, subsidiaries, and affiliates, and the officers, directors, agents and employees or any of the foregoing, are responsible for technical, hardware, software, or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in this Promotion or by any human error which may occur in the processing of the in this Promotion. Participation constitutes permission (except where prohibited by law) to see Participant’s name, city, state, and likeness for purposes of advertising, promotion, and publicity without additional compensation.EACH PARTICIPANT AGREES TO RELEASE, DEFEND, INDEMNIFY AND HOLD HARMLESS THE RELEASED PARTIES AND FACEBOOK FROM ANY AND ALL LIABILITY FOR CLAIMS, INJURIES, CAUSES OF ACTION, LOSSES OR DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION, WRONGFUL DEATH, PERSONAL INJURY INFRINGEMENT, ARISING OUT OF OR RELATED, IN WHOLE OR IN PART, TO (1) PARTICIPATION IN THE PROMOTION OR ANY PROMOTION-RELATED ACTIVITY, (2) FROM ITS BREACH OF THE REPRESENTATIONS AND WARRANTIES IN THIESE RULES, OR (3) FROM PARTICIPANT’S POSSESSION, ACCEPTANCE, RECEIPT OR USE/MISUSE OF A PRIZE, IN EACH INSTANCE WHETHER UNDER CONTRACT, TORT OR ANY OTHER LEGAL THEORY, AND, FURTHER EACH ENTRANT AGREES TO INDEMNIFY THE RELEASED PARTIES AGAINST ANY LIABILITY OR EXPENSE (INCLUDING REASONABLE ATTORNEY’S FEES)ARISING IN CONNECTION WITH THE FOREGOING. Released Parties are not responsible for any inability of any Participant to accept or use a Prize (or any portion thereof) for any reason.
- Disputes/ Choice of Law: Except where prohibited by law, and subject to the release and waiver of claims provisions herein, Participant agrees: (i) that any and all disputes, claims, and causes of action arising out of or connected with the Promotion, or any of the Prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by either the Erie County Supreme Court of New York, or by the United States District Court for the Western District of New York; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, with no award of attorneys’ fees; and (3) all rights to claim punitive, incidental, special, consequential or other damages, including without limitation lost profits may be awarded (collectively, “Special Damages”) and all rights to have any such damages multiplied or increased are waived.
- General: These Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor. Unless otherwise stated herein, if any provision of these Rules is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. If there is a discrepancy or inconsistency between other statements contained in any promotional materials related to the Passport to Morimoto Asia Promotion and the terms and conditions of these Rules, the terms of these Rules shall prevail and govern.
